Terms of use
The terms and conditions below apply to Spriv’s internet security service, not to Spriv’s Adaptive Two Factor Authentication.
Spriv’s internet security service only accesses your customer information, including location information of your mobile telephone only if you have opted in for the service. Spriv will not access your customer information, including location information, at any other time. Spriv’s internet security service will use your customer information, including location information, only for verifying internet transactions you make with approved providers, for the sole purpose of preventing your confidential information such as credit card and user name and password from fraud and/or identity theft. Your location will not be shared with anyone and will not be stored for any other purpose except to perform the security functions of the service.
Important Message from your carrier: This is not your carrier’s application. If you use this application, it may require your carrier to disclose your customer information, including location information, to Spriv. By providing your consent, you authorize your carrier to disclose your information to Spriv to enable this application. If you aren’t comfortable with these polices, don’t use the Spriv security service. You acknowledge and agree that (1) your relationship with Spriv is separate from your relationship with your carrier; (2) your carrier is not responsible for this application; and (3) you will hold harmless your carrier and its subsidiaries, affiliates, officers, employees, agents, successors and assigns from any judgments, claims, actions, losses, liabilities or expenses arising from or attributable to this application or the acts or omissions of Spriv.
General. In many cases, we will automatically collect certain non-personal information about your use of the Website that includes, among other things, information concerning date and time of your visit, the pages of the Website that you visited, your path through the Website, your IP address, the type of browser and operating system you are using and, and the third-party web sites or advertisements linked to or from the Website that you visited. For this purpose, we may use cookies, clear gifs, frames, server log analysis and other technology. Information, pertaining to your visits to the Website, collected through these technologies will be anonymous unless you provide, or have provided, us with personal information. Any information collected through the use of these technologies will be handled according to this Privacy Policy.
Cookies. Like other websites, we may use a feature of Internet web browsers called “cookies.” Cookies are generated by web servers and stored on users’ hard drives when they visit practically any website on the Internet. Cookies enable us to remember users, to store user preferences and to track user trends in general. We use cookies to improve the quality of the Website and to better understand how users interact with the Website. We do not and cannot use cookies to retrieve individual personally identifying information about you from your computer unless you knowingly and willingly provide such information. IP Addresses. When you access the Website, our servers may record your IP address. An IP address is a number that is assigned to your computer when you access the Internet. It is not truly personally identifiable information because many different individuals can access the Internet via the same computer. We may use IP addresses for system administration and troubleshooting, ensuring user compliance with our terms of service, investigating security breaches and compiling anonymous non-personal information such as how many users visited the Website.
Accessing the Service
Eligible Users. You must be at least eighteen (18) years old to access or use Spriv security services. You must be able to form legally binding contracts under applicable law. Other restrictions may apply.
Mobile Services. The service is also accessible via a mobile device. To the extent you access the service through a mobile device, your wireless service carrier’s standard charges, data rates and other fees may apply.
Not Available to Certain Users. The service may not be available in whole or in part in different countries and jurisdictions as determined by local laws and regulations.
Offer and Acceptance
If you submit a transaction, you are requesting that we process your transaction, an offer which may be accepted or rejected at our discretion.
Restricted Activities.
As a user of our websites or service or in the course of your interactions with Spriv, you will not:
- Breach any agreement between you and Spriv;
- Open more than one account;
- Provide false, inaccurate, or misleading information;
- Refuse to cooperate in an investigation or provide confirmation of your identity or any information you provide to us;
- Use an anonymizing proxy;
Collection of Information
Verifying information. You authorize us, directly or through third parties, to make any inquiries we consider necessary to validate the information that you provide to us. This may include asking you for additional information, requiring you to take steps to confirm ownership of your email address, mobile device or financial instruments, or verifying your information against third party databases or through other sources.
Identity and Location Information. You authorize Spriv to request your mobile carrier to use your subscriber details for verifying your identity. Those details may include name, billing address, email, and phone number. This information may also include location information, if available.
Spriv Intellectual Property
The website, text, graphics, links, buttons, logos, and images, as well as all other Spriv patents, copyrights, trademarks, trade secrets, service marks, logos, and product and service names are owned exclusively by Spriv. You may not display, use, copy, or modify the Spriv Intellectual Property in any manner. You are authorized solely to view and retain a copy of the pages of our websites for your own personal, non-commercial use. You may not: (i) engage in or use any automated devices, data mining, robots, scraping or similar data gathering or extraction methods to access or use the service; (ii) modify, copy, frame, scrape, rent, lease, loan, sell, distribute or create derivative works based on the service, in whole or in part, except that the foregoing does not apply to the information that you legally upload to the service; (iii) remove or alter any author, trademark or other proprietary notice or legend displayed on our websites (or printed pages thereof); or (iv) infringe Spriv’s or any third party’s copyright, patent, trademark, trade secret or other intellectual property rights, or rights of publicity or privacy.
The technology and software underlying the service or distribution in connection therewith are the property of Spriv. Any rights not expressly granted herein are reserved by Spriv.
Disclaimer of Warranties
THE SERVICE AND SOFTWARE, IF APPLICABLE, IS PROVIDED “AS IS” AND WITHOUT ANY WARRANTY OR CONDITION, EXPRESS, IMPLIED OR STATUTORY. WE, OUR SUBSIDIARIES, EMPLOYEES, SUPPLIERS, VENDORS, AND SERVICE PROVIDERS SPECIFICALLY DISCLAIM ANY IMPLIED WARRANTIES OF TITLE, MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE AND NON-INFRINGEMENT.
We make reasonable efforts to ensure that Transactions are processed in a timely manner, but we make no representations or warranties regarding the time needed to complete processing because the Service is largely dependent on many factors outside our control. Some jurisdictions do not allow the disclaimer of implied warranties, so the foregoing disclaimer may not apply to you. This warranty gives you specific legal rights and you may also have other legal rights that vary state to state. Notwithstanding the foregoing, you may have a right to a refund as expressly described herein.
Indemnity
You agree to indemnify and hold Spriv, its suppliers, vendors, service providers, and their respective subsidiaries, officers, agents, partners, employees, and consultants harmless from any claim or demand, including reasonable attorneys’ fees, made by any third party due to or arising out of your use of the service, your connection to the service, your violation of any applicable user agreement, or your violation of any rights of a third party.
Limitation of Liability
EXCEPT FOR CLAIMS UNDER SECTION 2102 OF THE CALIFORNIA FINANCIAL CODE ARISING FROM TRANSACTIONS ORIGINATING IN CALIFORNIA, IN NO EVENT SHALL SPRIV, ITS SUPPLIERS, VENDORS, SERVICE PROVIDERS, OR THEIR RESPECTIVE SUBSIDIARIES, OFFICERS, AGENTS, PARTNERS, EMPLOYEES OR CONSULTANTS BE LIABLE FOR ANY DIRECT, INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL OR EXEMPLARY DAMAGES BEYOND THE SUM OF $500.00 (IN ADDITION TO REFUNDING THE TRANSACTION AMOUNT AND TRANSACTION FEES), INCLUDING BUT NOT LIMITED TO, DAMAGES FOR LOSS OF PROFITS, GOODWILL, USE, DATA OR OTHER INTANGIBLE LOSSES (EVEN IF SPRIV HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES) RESULTING FROM NEGLIGENCE ON THE PART OF SPRIV, ITS SUPPLIERS, VENDORS, SERVICE PROVIDERS, OR THEIR RESPECTIVE SUBSIDIARIES, OFFICERS, AGENTS, PARTNERS, EMPLOYEES OR CONSULTANTS.
Miscellaneous
Customer Updates. You must promptly update us with any change in your email address and telephone number by email and receive confirmation thereof. If Spriv does not have correct contact information, Spriv may not be able to notify you with important information or changes in your transaction status.
Licenses.
No Waiver. The failure of Spriv to exercise or enforce any right, provision, or clause of these disclaimers shall not constitute a waiver of such right or provision and shall not guarantee that Spriv will repeat any such actions in the future. If any provision of the disclaimers are found by an arbitrator or court of competent jurisdiction to be invalid, the parties nevertheless agree that the arbitrator or court should endeavor to give appropriately valid effect to the intention of the disclaimers as reflected in the provision, and the other provisions of the disclaimers shall remain in full force and effect.
Modification. We may modify these disclaimers from time to time without notice to you, except as may be required by law. You can review the most current version at any time by reviewing our website. You may terminate your use of the service if you do not agree with any modification or amendment. If you use the service after the effective date of an amendment or modification, you shall be deemed to have accepted that amendment or modification. You agree that you shall not modify these disclaimers and acknowledge that any attempts by you to modify shall be void.
Language. In the event there is any inconsistency between the English or other language text on our websites, including this document, the English text shall be binding.
Special Notice for International Use; Export Controls. Software available in connection with the service and the transmission of applicable data, if any, is subject to United States export controls. No software may be downloaded from the service or otherwise exported or re-exported in violation of U.S. export laws. Downloading or using the software is at your sole risk. Recognizing the global nature of the Internet, you agree to comply with all local rules and laws regarding your use of the service, including as it concerns online conduct and acceptable content.
